1. Acceptance of Terms
By purchasing, downloading, installing, or using Engineer OS ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software. These terms constitute a legally binding agreement between you ("User") and the Engineer OS team ("Company").
2. Personal Perpetual License
User is granted a Personal Perpetual License for Engineer OS. This allows for individual lifetime use of the software on the user's personal systems and personal modifications, but strictly prohibits any redistribution, resale, or sub-licensing of the software in any form.
The Personal Perpetual License grants you a non-exclusive, non-transferable, perpetual right to install and use the Software on any number of personal devices you own or control. "Personal use" means use by you as an individual — not on behalf of an organization, corporation, or other entity unless expressly authorized in writing.
3. Use of Software
You may use the Software for personal productivity, engineering leadership management, and professional development purposes. You may modify the Software's source code for your own personal use. You may create backups of the Software for archival purposes.
You may not distribute, sell, lease, sublicense, or otherwise make the Software available to any third party. You may not use the Software to build a competing product or service. You may not remove or alter any proprietary notices, labels, or marks on the Software.
4. Intellectual Property
The Software, including all code, documentation, design, and associated materials, is the intellectual property of the Company. Your license grants usage rights only — not ownership of the underlying intellectual property. All rights not expressly granted in this agreement are reserved by the Company.
5. Data and Privacy
Engineer OS is a local-first application. All data created through use of the Software is stored locally on your machine in a SQLite database file. The Company does not collect, transmit, or store any user data. Optional AI analysis features that connect to external APIs (OpenAI, Ollama) are governed by those providers' respective privacy policies.
6. Disclaimer of Warranties
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Software will meet your requirements, operate without interruption, or be error-free.
7. Limitation of Liability
In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Software.
8. Termination
This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
9. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration.
10. Changes to Terms
The Company reserves the right to modify these Terms at any time. Continued use of the Software after changes constitutes acceptance of the modified Terms. Material changes will be communicated through the Software's update mechanism or via email.
